User Terms

These Terms of Service ("Terms") govern your access to and use of the Grow mobile application, website, APIs, and related services (collectively, the "Services").

The Services are operated by Equalize Technologies, Inc. (also known as Grow) ("Equalize," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Eligibility

You may use Grow if:

  • You are at least 18 years old
  • You have the legal capacity to enter into these Terms
  • You are not prohibited from using the Services under applicable laws
  • Your use of the Services complies with applicable sanctions, export controls, and regulations

U.S. persons are permitted to use Grow, subject to applicable laws and feature availability.

You are responsible for ensuring that your use of Grow is lawful in your jurisdiction.

2. Non-Custodial Nature of the Services

Grow is a non-custodial platform.

This means:

  • Equalize does not hold, custody, or control your digital assets
  • You are solely responsible for the custody of your funds
  • You retain exclusive control over your wallet, private keys, recovery methods, and signing authority
  • Except as expressly authorized by you, Equalize cannot withdraw, transfer, freeze, recover, or reverse your assets.

If you lose access to your wallet or recovery credentials, Equalize cannot restore them.

3. Description of the Services

Grow provides software tools that allow users to:

  • Interact with blockchain networks
  • Manage and transact with digital assets
  • Access tokenized assets issued by third parties
  • Interact with third-party smart contracts and protocols
  • Access optional automated earning strategies using delegated permissions authorized by the user

Grow is not a bank, broker-dealer, investment adviser, custodian, or fiduciary.

All blockchain interactions occur on decentralized networks outside Equalize's control.

4. Protocols & Automatic Earning

Grow enables interaction with third-party blockchain protocols and smart contracts.

Certain eligible assets may be automatically deposited into a selected yield strategy using the delegated permissions you grant through the Services.

Automatic earning is optional and can be disabled at any time through the Services.

By enabling automatic earning, you authorize Grow to submit deposit transactions to the selected yield strategy on your behalf using those delegated permissions.

The delegated permissions granted to Grow are limited in scope. They authorize Grow only to submit deposit transactions to the selected yield strategy. Grow cannot use those permissions to withdraw your assets, transfer your assets to another wallet, or migrate your assets to a different strategy without your explicit authorization. Equalize cannot exercise permissions beyond those you have granted. Delegated permissions may expire or be revoked.

Before interacting with any protocol through Grow, you will have the opportunity to review information about the protocol and authorize the applicable transaction.

You acknowledge and agree that:

  • Third-party protocols operate independently of Equalize.
  • Third-party protocols may experience software bugs, smart contract vulnerabilities, exploits, governance failures, liquidity events, market events, or other failures that could result in partial or complete loss of assets.
  • Any displayed yield or APY is variable, may change at any time, and is not guaranteed.
  • Equalize does not control, endorse, guarantee, insure, or assume responsibility for any third-party protocol.
  • You are solely responsible for deciding whether to use any protocol made available through the Services.
  • Certain assets available through Grow are issued by third parties. Equalize does not guarantee the performance, redemption, solvency, or obligations of any issuer.

5. Account Abstraction & Transaction Handling

Grow may abstract certain blockchain mechanics to improve usability, including:

  • Transaction submission or relaying
  • Gas abstraction or fee handling
  • Transaction batching or bundling

Despite these abstractions:

  • You remain the on-chain account owner
  • All transactions require your authorization unless they are submitted pursuant to delegated permissions previously authorized by you
  • Transactions execute on public blockchains

Equalize does not guarantee that any transaction will be executed, confirmed, or completed.

6. Transactions & Fees

When you initiate a transaction through Grow:

  • You authorize Grow to submit or relay the transaction on your behalf
  • Transaction fees may apply, including network or protocol fees
  • Fees may be paid directly by you or abstracted by Grow depending on the transaction
  • Transactions may fail, be delayed, or be reverted due to a variety of conditions.

Equalize is not responsible for failed, delayed, or reverted transactions.

Equalize does not guarantee execution price, routing, confirmation time, transaction success, or protocol availability.

7. Irreversibility of Blockchain Transactions

Blockchain transactions are final and irreversible once confirmed.

You acknowledge that:

  • Transactions cannot be canceled or reversed
  • Errors may result in permanent loss of funds
  • You are responsible for reviewing transaction details before approval

8. Regulatory Uncertainty, Public Beta & Feature Availability

Laws and regulations affecting blockchain technology and digital assets are evolving.

As a result:

  • Feature availability may vary by jurisdiction
  • Features may be restricted, modified, suspended, or discontinued
  • Jurisdiction-based limitations may be applied at any time

Grow is currently offered as a public beta. Features may change, be modified, suspended, or discontinued without notice.

Equalize does not guarantee continued availability of any feature.

9. Prohibited Jurisdictions

You may not use the Services if you are located in, or ordinarily resident in, any of the following jurisdictions:

  • Cuba
  • Iran
  • North Korea
  • Syria
  • Russia
  • Belarus
  • Ukraine (Crimea, Donetsk, and Luhansk regions)
  • Afghanistan
  • Venezuela

10. Sanctions & Restricted Persons

You may not use Grow if you are subject to sanctions or acting on behalf of a sanctioned person.

11. User Responsibilities

You agree to comply with all applicable laws and safeguard your credentials.

12. Prohibited Uses

You may not misuse or abuse the Services or attempt to circumvent restrictions.

13. No Financial Advice

Grow does not provide investment, financial, legal, or tax advice.

14. Investment Risk

Investing in digital assets, tokenized assets, and blockchain-based financial products involves substantial risk, including the possible loss of some or all of your investment.

Prices may be volatile. Yield is variable, is not guaranteed, and you may lose some or all of your deposited assets. Past performance is not indicative of future results.

You are solely responsible for evaluating the suitability of any investment or protocol.

15. Taxes

You are solely responsible for determining, reporting, paying, and complying with any tax obligations arising from your use of the Services.

16. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EQUALIZE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EQUALIZE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF DIGITAL ASSETS, LOSS OF YIELD, OR BUSINESS INTERRUPTION.

Equalize's total liability shall not exceed amounts paid by you, if any, in the prior 12 months.

18. Indemnification

You agree to indemnify and hold Equalize harmless from claims arising from your use of the Services.

19. Termination

Equalize may suspend or terminate access as required by law or for risk management.

You may stop using the Services at any time. To request closure of your Grow account and deletion of associated personal data, follow the steps on our Account deletion page. How we handle personal data, including retention, is described in our Privacy Policy.

20. Additional Terms

Certain features, services, or promotions offered by Grow may be subject to additional terms and conditions ("Additional Terms"). By accessing or using such features, you agree to be bound by any applicable Additional Terms, which are incorporated into these Terms by reference.

In the event of a conflict between these Terms and any Additional Terms, the Additional Terms will control with respect to the applicable feature.

21. Changes to These Terms

Equalize may update these Terms at any time.

22. Governing Law

These Terms are governed by the laws of the State of California.
