Grow Invite Program Terms & Conditions

1. Program Overview

The Program allows eligible Grow users ("Inviters") to invite new users ("Invitees") to the Grow platform using a unique referral code.

Subject to compliance with these Terms, Grow may, in its sole discretion, provide promotional rewards, including subscription benefits and/or promotional assets.

2. Eligibility and Qualification

A referral will qualify as a "Successful Referral" only if all of the following conditions are met:

The Invitee:

• Creates a new Grow account as a first-time user;
• Applies the Inviter's referral code within seven (7) days of account creation; and
• Completes a minimum investment of $10 USD (or equivalent) through the Grow platform.

Grow reserves the right to determine, in its sole discretion, whether any referral satisfies these requirements, including verification of user eligibility and compliance with applicable laws and Grow policies.

3. Referral Rewards

Upon a Successful Referral:

The Invitee will receive:

• One (1) month of Grow Green subscription benefits.

The Inviter will receive:

• One (1) month of Grow Green subscription benefits; and
• One (1) promotional asset (the "Promotional Asset"), selected from a pre-determined list of eligible assets made available by Grow.

All rewards are subject to availability and may be modified, substituted, or discontinued at any time at Grow's sole discretion.

4. Reward Conditions

4.1 Promotional Asset

The Promotional Asset:

• Will be credited after confirmation of a Successful Referral;
• Is subject to a thirty (30) day holding period from the date of issuance;
• Will become eligible for trading within the Grow platform only after the holding period has elapsed, provided the Inviter maintains a minimum account balance of $10 USD (or equivalent) at that time.

4.2 Grow Green Subscription

Grow Green subscription benefits:

• Will be applied following confirmation of a Successful Referral;
• Are non-transferable, non-exchangeable, and not redeemable for cash;
• May be subject to additional terms applicable to Grow Green.

5. Restrictions and Prohibited Conduct

Participants agree not to:

• Refer themselves or create multiple accounts to obtain rewards;
• Engage in fraudulent, deceptive, or abusive conduct, including spam, manipulation, or misrepresentation;
• Distribute referral codes in violation of applicable laws or platform policies;
• Use the Program in any manner that violates Grow's Terms of Service or applicable law.

Grow reserves the right to investigate suspected violations and, in its sole discretion, disqualify participants, void referrals, and delay, withhold, or revoke rewards.

6. Reward Restrictions

Rewards provided under the Program, including Promotional Assets and Grow Green subscription benefits, are personal, limited, revocable, and non-transferable, and may not be sold, assigned, or otherwise transferred except as expressly permitted by Grow.

Promotional Assets:

• Are not immediately tradable and are subject to a 30-day holding period;
• May be traded for other supported assets within the Grow platform after the holding period, subject to continued eligibility requirements;
• May not be withdrawn, redeemed for cash, or transferred off-platform, except where expressly permitted by Grow.

All rewards:

• Have no fixed or guaranteed value and may fluctuate based on market conditions, liquidity, and availability;
• Are provided for promotional purposes only and do not constitute compensation, investment advice, or any guaranteed financial return;
• May be modified, substituted, delayed, revoked, or discontinued at any time.

7. Program Changes and Termination

Grow reserves the right to modify, suspend, or terminate the Program, in whole or in part, at any time and for any reason, with or without prior notice.

This includes, without limitation:

• Changes to eligibility requirements;
• Adjustments to reward structure, amounts, or timing; and
• Limits on referrals or rewards.

Continued participation in the Program after any changes constitutes acceptance of the updated Terms.

8. Limitation of Liability

To the fullest extent permitted by law, Grow shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to participation in the Program, including any fluctuation or loss in value of a Promotional Asset.

9. Taxes

Participants are solely responsible for any taxes, duties, or reporting obligations arising from participation in the Program, as applicable under their local laws.

10. Governing Law

These Terms and the Program shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

11. Dispute Resolution; Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Binding Arbitration

To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to the Program or these Terms shall be resolved exclusively through final and binding arbitration, rather than in court, except where prohibited by applicable law.

Arbitration Administration

The arbitration shall be administered by a nationally recognized arbitration provider selected by Grow and conducted in English.

Location and Procedure

The arbitration shall take place in the United States, in the State of Delaware, unless otherwise required by applicable law. The arbitrator's decision shall be final and binding and may be entered in any court of competent jurisdiction.

Exceptions

Notwithstanding the foregoing, Grow may seek injunctive or equitable relief in any court of competent jurisdiction to protect its rights, including to prevent fraud, abuse, or unauthorized use of the Program.

12. Class Action Waiver

To the fullest extent permitted by law, you agree that:

• Any disputes will be resolved solely on an individual basis, and not as part of any class, collective, or representative action; and
• You waive any right to participate in a class action lawsuit, class-wide arbitration, or other representative proceeding against Grow.

13. General Terms

• Grow's determinations regarding the Program, including eligibility, qualification, and reward issuance, are final and binding.
• These Terms supplement and form part of Grow's broader Terms of Service.
• If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• Grow's failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
