Grow Green Terms & Conditions

1. Overview of Grow Green

Grow Green is a feature set made available to eligible users that may include, from time to time:

• The ability to earn yield through participation in third-party decentralized finance ("DeFi") protocols;
• Cashback rewards on certain qualifying transactions;
• Access to Grow Intelligence, including insights, analytics, and other informational content generated using algorithms, artificial intelligence, or quantitative methods.

Features may vary by user, region, and over time.

2. Yield and Third-Party Protocols

Certain Grow Green features may allow users to allocate assets to third-party decentralized finance ("DeFi") protocols to earn yield through lending activity.

By using these features, you acknowledge and agree that:

• Such protocols are not operated or controlled by Grow;
• Participation involves risks, including potential loss of funds, changes in available yield, liquidity constraints, or technical issues;
• Any yield or returns are variable and not fixed, and may change over time based on market conditions and protocol activity.

Grow does not custody, guarantee, insure, or otherwise assume responsibility for assets deployed to third-party protocols, except as expressly stated.

3. Cashback Rewards

Grow may offer cashback rewards on certain qualifying transactions.

Unless otherwise specified:

• Cashback is currently set at 0.1% of eligible transaction value, but may be modified at any time;
• Eligibility, calculation, timing, and form of cashback (including whether issued as assets, credits, or otherwise) are determined by Grow in its sole discretion.

Cashback rewards are promotional in nature and may be modified, delayed, revoked, or discontinued at any time.

4. Grow Intelligence

Grow Green may provide access to Grow Intelligence, including insights, analytics, or other informational content.

You acknowledge and agree that:

• Such content is provided for informational purposes only;
• Nothing provided through Grow Intelligence constitutes investment advice, financial advice, or a recommendation to buy, sell, or hold any asset;
• Grow does not guarantee the accuracy, completeness, or usefulness of such content.

You remain solely responsible for your decisions and use of the platform.

5. Subscription and Access

Grow Green may be offered:

• As part of a paid subscription; or
• As a promotional benefit, including through referral programs or other incentives.

Access to Grow Green:

• Is personal, limited, revocable, and non-transferable;
• May be suspended or terminated at any time in Grow's sole discretion, including for violations of applicable terms or laws.

Grow reserves the right to introduce, modify, or remove pricing, subscription terms, or access conditions at any time.

6. Feature Availability and Changes

Grow reserves the right, at any time and in its sole discretion, to:

• Add, remove, modify, or limit any Grow Green features;
• Change eligibility requirements;
• Restrict or condition access based on geography, account status, or other factors.

Grow does not guarantee the continued availability of any specific feature.

7. Risks and Disclaimers

By using Grow Green, you acknowledge that:

• Digital assets and participation in DeFi protocols involve risks, including the potential for loss;
• Market conditions and protocol dynamics may change over time;
• Third-party services may become unavailable or experience issues.

To the fullest extent permitted by law, Grow disclaims liability related to third-party protocols and user decisions.

8. Taxes

You are solely responsible for any taxes, duties, or reporting obligations arising from your use of Grow Green or any associated rewards, yield, or benefits, as applicable under your local laws.

9. Limitation of Liability

To the fullest extent permitted by law, Grow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of funds, loss of profits, or loss of opportunity, arising out of or related to Grow Green.

10. Governing Law

These Grow Green Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

11. Dispute Resolution; Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to Grow Green shall be resolved through final and binding arbitration, except where prohibited by applicable law.

Arbitration shall be administered by a recognized arbitration provider selected by Grow and conducted in English.

The arbitration shall take place in the State of Delaware, unless otherwise required by law.

Grow may seek injunctive or equitable relief in any court of competent jurisdiction to protect its rights or prevent fraud, abuse, or misuse of the platform.

12. Class Action Waiver

To the fullest extent permitted by law, you agree that:

• Any disputes will be resolved on an individual basis only, and not as part of any class, collective, or representative action; and
• You waive any right to participate in any class action, class arbitration, or representative proceeding against Grow.

13. General Terms

• Grow's determinations regarding Grow Green, including eligibility and feature availability, are final and binding.
• These Grow Green Terms supplement Grow's broader Terms of Service.
• If any provision is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• Grow's failure to enforce any provision does not constitute a waiver of that provision.
