User Terms

1. Eligibility

You may use Grow if:

• You are at least 18 years old
• You have the legal capacity to enter into these Terms
• You are not prohibited from using the Services under applicable laws
• Your use of the Services complies with applicable sanctions, export controls, and regulations

U.S. persons are permitted to use Grow, subject to applicable laws and feature availability.

You are responsible for ensuring that your use of Grow is lawful in your jurisdiction.

2. Non-Custodial Nature of the Services

Grow is a non-custodial platform.

This means:

• Equalize does not hold, custody, or control your digital assets
• You are solely responsible for the custody of your funds
• You retain exclusive control over your wallet, private keys, recovery methods, and signing authority
• Equalize cannot access, transfer, freeze, recover, or reverse your funds.

If you lose access to your wallet or recovery credentials, Equalize cannot restore them.

3. Description of the Services

Grow provides software tools that allow users to:

• Interact with blockchain networks
• Manage and transact with digital assets
• Interact with third-party smart contracts and protocols

Grow is not a bank, broker-dealer, investment adviser, or custodian.

All blockchain interactions occur on decentralized networks outside Equalize's control.

4. Protocol Disclosure & User Authorization

Grow enables interaction with third-party blockchain protocols and smart contracts.

Before you interact with any protocol through the Services:

• The relevant protocol or product will be clearly disclosed
• You will have the opportunity to review information about the interaction
• You must explicitly authorize the transaction

By proceeding, you acknowledge that:

• You understand which protocol you are interacting with
• You accept the risks associated with that protocol
• The interaction occurs on-chain and outside Equalize's control

Equalize does not control, endorse, or guarantee the behavior of any protocol.

5. Account Abstraction & Transaction Handling

Grow may abstract certain blockchain mechanics to improve usability, including:

• Transaction submission or relaying
• Gas abstraction or fee handling
• Transaction batching or bundling

Despite these abstractions:

• You remain the on-chain account owner
• All transactions require your authorization
• Transactions execute on public blockchains

Equalize does not guarantee that any transaction will be executed, confirmed, or completed.

6. Transactions & Fees

When you initiate a transaction through Grow:

• You authorize Grow to submit or relay the transaction on your behalf
• Transaction fees may apply, including network or protocol fees
• Fees may be paid directly by you or abstracted by Grow depending on the transaction
• Transactions may fail, be delayed, or be reverted due to a variety of conditions.

Equalize is not responsible for failed, delayed, or reverted transactions.

7. Irreversibility of Blockchain Transactions

Blockchain transactions are final and irreversible once confirmed.

You acknowledge that:

• Transactions cannot be canceled or reversed
• Errors may result in permanent loss of funds
• You are responsible for reviewing transaction details before approval

8. Regulatory Uncertainty & Feature Availability

Laws and regulations affecting blockchain technology and digital assets are evolving.

As a result:

• Feature availability may vary by jurisdiction
• Features may be restricted, modified, suspended, or discontinued
• Jurisdiction-based limitations may be applied at any time

Equalize does not guarantee continued availability of any feature.

9. Prohibited Jurisdictions

You may not use the Services if you are located in, or ordinarily resident in, any of the following jurisdictions:

• Cuba
• Iran
• North Korea
• Syria
• Russia
• Belarus
• Ukraine (Crimea, Donetsk, and Luhansk regions)
• Afghanistan
• Venezuela

10. Sanctions & Restricted Persons

You may not use Grow if you are subject to sanctions or acting on behalf of a sanctioned person.

11. User Responsibilities

You agree to comply with all applicable laws and safeguard your credentials.

12. Prohibited Uses

You may not misuse or abuse the Services or attempt to circumvent restrictions.

13. No Financial Advice

Grow does not provide investment, financial, legal, or tax advice.

14. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

15. Limitation of Liability

Equalize's total liability shall not exceed amounts paid by you, if any, in the prior 12 months.

16. Indemnification

You agree to indemnify and hold Equalize harmless from claims arising from your use of the Services.

17. Termination

Equalize may suspend or terminate access as required by law or for risk management.

18. Changes to These Terms

Equalize may update these Terms at any time.

19. Governing Law

These Terms are governed by the laws of the State of California.
